Are you an experienced Corporate Paralegal looking to join a highly regarded law firm where you can work alongside experienced attorneys and play a key role in supporting sophisticated business transactions? I’m currently working with a well-established, full-service law firm with a strong presence across the United States, which is looking to add an experienced Corporate Paralegal to its Business team in West Palm Beach, Florida. This is an excellent opportunity for a paralegal with 5+ years of legal experience who enjoys working across corporate matters, transaction support and legal documentation, and who is looking for a role within a collaborative and client-focused environment.

The Role

Working closely with attorneys within the Business team, you’ll provide hands-on support across a broad range of corporate and transactional matters You’ll be involved throughout the transaction lifecycle, from preparing and reviewing legal documents through to managing closing materials, maintaining corporate records and coordinating signatures and filings.

Key Responsibilities

  • Draft routine corporate legal documents and correspondence.
  • Conduct factual and legal research relevant to corporate and business matters.
  • Liaise with opposing counsel, filing agents and clients as directed by attorneys.
  • Organise and maintain internal files and transaction closing materials.
  • Manage practice and client-driven deadlines.
  • Review and maintain accurate time entries.
  • Review a variety of corporate and transactional legal documents.
  • Manage the DocuSign signature process and compile executed signature pages.
  • Prepare closing binders and electronic transaction files.
  • Draft and revise documents for filing with state and county offices.
  • Prepare and revise Articles of Incorporation and Articles of Formation.
  • Review Letters of Intent, contracts, loan commitments and UCC documents.
  • Prepare and maintain corporate minute books, ownership certificates and ledgers.
  • Provide active support throughout business transactions, including maintaining closing checklists.
  • Maintain and update electronic data rooms.
  • Conduct lien searches and litigation reports.
  • Provide proactive day-to-day support to attorneys.
  • Prioritise workloads, monitor deadlines and communicate progress effectively.
  • Maintain strict client confidentiality and adhere to applicable professional and ethical requirements.

About You

The ideal candidate will have:
  • 5+ years of paralegal experience, preferably within a corporate legal department or law firm Business/Corporate practice.
  • Florida Registered Paralegal (FRP) qualification/certificate, or an equivalent combination of relevant experience.
  • Strong attention to detail and excellent organisational skills.
  • The ability to manage multiple deadlines and competing priorities.
  • Excellent written and verbal communication skills.
  • Strong proficiency with Microsoft Word, Outlook and Excel.
  • Experience using case management and/or specialist legal software.
  • Proficiency with Adobe Acrobat and PDF software.
  • Experience using DocuSign.
  • Experience working with a large-scale document management system.
Experience with iManage/DeskSite would be particularly advantageous, as would previous experience conducting document searches and retrieving information from large document management systems.
